1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OmniPost ("OmniPost," "we," "us," or "our") governing your access to and use of the OmniPost website, web applications, and services (collectively, the "Service").

By signing in through Google, connecting third-party social media accounts, uploading videos, or otherwise accessing or using OmniPost, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Description of the Service

OmniPost is a social media content management, AI video content analysis, and multi-platform publishing platform designed to help content creators adapt and publish their video content.

The current Service supports the following core capabilities:

  • Account authentication: Account creation and secure login authenticated via Google Sign-In.
  • Account connections: Connecting and authorizing your YouTube channel and Instagram professional (Business or Creator) account via OAuth.
  • Video uploads and storage: Uploading video files directly to private cloud object storage via short-lived presigned URLs.
  • AI content analysis: Automated extraction of video audio and transcription to analyze the video topic, summary, and key points.
  • AI platform content generation: Automated generation of platform-tailored YouTube titles, YouTube descriptions, Instagram captions, hashtags, and calls to action (CTAs).
  • Review and manual editing: An interactive workspace enabling users to review, refine, and customize all AI-generated copy prior to publishing.
  • Social publishing: User-directed publishing of videos and approved content to your connected YouTube and Instagram accounts.
  • Content deletion: In-app deletion of uploaded videos, removing the stored video file and its associated database records.

OmniPost is strictly limited to the capabilities described above. The current Service does not include paid subscription plans, billing mechanisms, analytics reporting, other social media platforms (such as TikTok, Facebook, or LinkedIn), or advanced multi-day scheduling.

3. Eligibility

You must be at least 13 years of age (or the minimum legal age required in your country of residence to use online services) and possess the full legal capacity to enter into a binding agreement to use OmniPost.

If you use OmniPost on behalf of a business, agency, brand, or other legal entity, you represent and warrant that you are authorized to accept these Terms on behalf of that entity and that the entity agrees to be legally bound by these Terms.

4. User Accounts

OmniPost uses Google Sign-In to authenticate users. We do not collect or store independent account passwords. By signing in, you authorize OmniPost to access basic identity information (email address, name, profile picture, and Google account identifier) necessary to create and manage your user profile.

You are responsible for safeguarding your Google credentials and maintaining the security of your browser and devices. You agree to accept full responsibility for all activities, uploads, and publishing actions that take place under your account.

You agree to immediately notify OmniPost of any unauthorized use of your account or any known or suspected security breach.

5. Connecting Third-Party Accounts

To publish content through OmniPost, you may connect your third-party social media accounts using official OAuth authorization flows:

  • Google and YouTube: When connecting YouTube, you authorize OmniPost to access the YouTube upload permission (https://www.googleapis.com/auth/youtube.upload) to upload videos and apply titles, descriptions, and tags to your designated channel.
  • Instagram / Meta: When connecting Instagram, you authorize OmniPost via Meta/Instagram Login to publish videos and captions to your designated professional (Business or Creator) Instagram account.

OmniPost stores authorization tokens securely on our backend servers and never exposes them to your browser. You retain complete control over these connections and may disconnect your accounts at any time through the OmniPost interface or via the permissions settings of Google or Meta.

6. User Content

You retain all ownership rights, copyright, and any other proprietary rights in and to the videos, text, graphics, and materials you upload to OmniPost ("User Content"), subject to any pre-existing third-party rights.

By uploading User Content to OmniPost, you grant OmniPost a limited, non-exclusive, worldwide, royalty-free license solely to host, store, copy, transcode, extract audio from, transcribe, generate platform content from, and transmit your User Content to your connected third-party platforms strictly as necessary to provide the Service and execute your instructions.

You represent and warrant that you own or have obtained all necessary licenses, permissions, consents, and clearances for all User Content you upload or publish, including copyright, trademark, privacy, and publicity rights.

7. AI-Generated Content

OmniPost uses automated artificial intelligence models to process video audio and propose titles, descriptions, captions, hashtags, and calls to action. You acknowledge and agree to the following terms regarding AI-generated output:

  • Potential for errors: AI-generated content is produced probabilistically and may contain factual inaccuracies, omissions, out-of-context statements, or unsuitable phrasing.
  • Mandatory user review: You are solely responsible for reviewing, inspecting, verifying, and editing all AI-generated content before scheduling or publishing it to any public or private channel.
  • No accuracy or originality guarantees: OmniPost does not warrant or guarantee that AI-generated content is accurate, complete, truthful, original, non-infringing, or suitable for any particular purpose or commercial endeavor.
  • No outcome guarantees: OmniPost makes no representations or warranties that publishing AI-generated content will achieve any specific number of views, impressions, followers, engagement, click-throughs, audience reach, or financial revenue.

You remain the publisher of your content. You are solely responsible for ensuring that all published material complies with applicable legal standards, advertising disclosures (such as FTC endorsements), and social platform policies.

8. User Responsibilities

In using OmniPost, you agree to fulfill the following responsibilities:

  • Compliance with laws: You must ensure that your use of the Service and all published content complies with all applicable local, national, and international laws, rules, and regulations.
  • Content accuracy and truthfulness: You must verify the truthfulness and accuracy of any statements or claims made in your videos and generated descriptions before publishing.
  • Third-party platform rules: You must comply with the community guidelines, developer policies, and terms of service of each connected third-party platform.
  • Proper attribution and disclosures: You are responsible for including required sponsorships, commercial disclosures, or music and copyright attributions in your content.

9. Prohibited Uses

You agree not to use OmniPost for any unlawful, abusive, or unauthorized purpose. Prohibited activities include, but are not limited to:

  • Infringement: Uploading or publishing content that infringes or misappropriates any copyright, trademark, trade secret, patent, or other proprietary right of any party.
  • Harmful or abusive content: Uploading or transmitting defamatory, libelous, threatening, harassing, hateful, discriminatory, sexually explicit, obscene, violent, or otherwise harmful content.
  • Impersonation and fraud: Impersonating any individual, entity, brand, or public figure, or misrepresenting your identity or affiliation.
  • Malware and attacks: Introducing viruses, trojans, worms, malicious code, or other technology intended to compromise, disrupt, or damage OmniPost or any third-party infrastructure.
  • Spam and deceptive engagement: Distributing unsolicited commercial communications, chain messages, deceptive click-bait, or automated engagement manipulation schemes.
  • Circumvention and unauthorized access: Attempting to probe, scan, bypass, reverse-engineer, or circumvent any security measures, rate limits, access controls, or technical safeguards.
  • Platform policy violations: Using OmniPost in any way that violates the platform policies, API guidelines, or community rules of YouTube, Google, Instagram, or Meta.

10. Social Media Publishing

OmniPost acts solely upon your explicit instruction when publishing content to connected platforms. OmniPost does not independently or autonomously publish content to your social media accounts.

Publishing operations depend upon third-party APIs and infrastructure. While OmniPost transmits your requests, publishing may encounter delays, rate-limiting, temporary network outages, or format rejections by the receiving platform.

OmniPost cannot guarantee that third-party platforms will accept, approve, index, or display your content. If a platform rejects, demotes, restricts, or removes your video or account, OmniPost bears no responsibility or liability for such platform-side decisions.

11. Third-Party Services

YouTube, Google, Instagram, and Meta are independent third-party services. OmniPost does not own, operate, manage, or control these platforms.

Your use of third-party platforms through OmniPost is governed by their independent terms and policies:

  • YouTube: By connecting YouTube, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).
  • Google: Use of Google accounts is subject to the Google Privacy Policy (https://policies.google.com/privacy) and Google Terms of Service.
  • Instagram and Meta: By connecting Instagram, you agree to comply with the Instagram Terms of Use, Meta Platform Terms, and Meta Privacy Policy.

Third-party platforms may modify their APIs, adjust permissions, enforce rate limits, or alter policies at any time without notice. OmniPost is not liable for changes or interruptions caused by third-party platforms.

OmniPost is an independent software application. OmniPost is not affiliated with, endorsed by, sponsored by, or partnered with Google, YouTube, Instagram, or Meta.

12. Intellectual Property

We respect intellectual property rights and expect our users to do the same. Proprietary boundaries are defined as follows:

  • OmniPost property: The OmniPost name, logo, website, software, codebase, visual designs, user interfaces, documentation, and underlying technology are the exclusive intellectual property of OmniPost and its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
  • User property: You retain all pre-existing rights, title, and interest in and to your original User Content.
  • Third-party trademarks: YouTube, Google, Instagram, Meta, and other brand names or logos referenced within the Service are the registered trademarks of their respective owners.
  • AI-generated text: Subject to your compliance with these Terms, OmniPost claims no ownership over the specific text outputs generated by the AI for your videos.

13. User Feedback

If you choose to submit comments, ideas, suggestions, or feature requests regarding OmniPost ("Feedback"), you grant OmniPost a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, adapt, implement, and commercialize such Feedback without any obligation of compensation or attribution to you.

14. Privacy

Your privacy is important to us. Our collection, use, processing, and protection of your personal information and connected account credentials are fully described in our Privacy Policy.

By accessing or using OmniPost, you confirm that you have read and understood our Privacy Policy and consent to the information practices described therein.

15. Service Availability

OmniPost is provided on an "as is" and "as available" basis. We do not guarantee continuous, uninterrupted, timely, or error-free operation of the Service.

We reserve the right to modify, suspend, or temporarily restrict access to the Service or any part thereof at any time, with or without notice, for maintenance, system updates, security reviews, or technical improvements.

16. Disclaimers

To the maximum extent permitted by applicable law, OmniPost explicitly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and accuracy of data.

OmniPost makes no warranty that the Service will meet your specific business requirements, that AI-generated suggestions will be error-free or unique, or that any defects or errors will be corrected.

17. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall OmniPost, its founders, operators, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to loss of profits, loss of data, loss of business goodwill, interruption of business, or social media penalties (such as channel strikes, content removals, demonetization, or account bans imposed by YouTube or Instagram), arising out of or related to your use of or inability to use the Service.

In no event shall OmniPost's total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of the amount you paid to OmniPost in the twelve (12) months preceding the event giving rise to liability, or one hundred United States dollars ($100.00 USD).

18. Indemnification

You agree to defend, indemnify, and hold harmless OmniPost, its operators, employees, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from:

  • Your User Content: Any claim that your videos, audio, or published metadata violates or infringes the copyright, trademark, privacy, or publicity rights of any third party.
  • Terms violation: Your breach or alleged breach of any term, condition, representation, or warranty set forth in these Terms.
  • Platform violations: Your violation of any applicable law, regulation, or third-party platform policy (including YouTube or Meta policies).

19. Account Suspension and Termination

You may stop using OmniPost at any time and disconnect your social media accounts through the application interface.

OmniPost reserves the right, in its sole discretion and without liability, to suspend, disable, or terminate your access to the Service immediately, with or without prior notice, if we determine that you have violated these Terms, engaged in fraudulent or unlawful activities, infringed third-party rights, or posed a security or legal risk to OmniPost, our users, or our integration partners.

Upon termination, your right to access and use OmniPost will immediately cease.

20. Data and Content Deletion

We provide self-service controls allowing you to delete your uploaded videos and disconnect third-party integrations at any time:

  • In-app video deletion: When you delete a video from your OmniPost workspace, the video file is permanently and irreversibly removed from our private Cloudflare R2 object storage bucket, and all associated database records (including AI analysis, transcript, and generated platform content) are deleted.
  • Integration disconnection: Disconnecting YouTube or Instagram removes the stored OAuth credentials and authorization records from our database.
  • Account deletion requests: To request complete deletion of your user account profile and all remaining records, you may contact us at our designated contact address.

21. Changes to the Service

OmniPost is an active software project. We reserve the right to modify, refine, update, deprecate, or replace any feature or workflow of the Service at any time without liability to you. We continually work to improve system performance, integration stability, and AI generation quality.

22. Changes to These Terms

We may revise these Terms & Conditions from time to time. When revisions are made, we will update the "Last updated" date displayed at the top of this document.

For significant changes, we will provide reasonable notice, such as by displaying an alert within the application. Your continued use of OmniPost after revised Terms become effective constitutes your binding acceptance of the updated Terms.

23. Governing Law

These Terms and any dispute, controversy, or claim arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the jurisdiction in which OmniPost operates, without regard to its conflict of law provisions.

You agree to submit to the personal and exclusive jurisdiction of the competent courts located within that jurisdiction for the resolution of any legal proceedings arising from these Terms.
